Terms & Conditions
1. Ownership of Intellectual Property
All digital products, documents, files, templates, frameworks, methodologies, and related materials (the “Digital Materials”) made available by the Company are and shall remain the sole and exclusive intellectual property of the Company and are protected by applicable copyright and intellectual property laws. No ownership rights, title, or interest in the Digital Materials are transferred to the purchaser under any circumstances. Except for the limited license expressly granted under these Terms & Conditions, all rights are reserved by the Company. For the avoidance of doubt, any internal modifications, adaptations, or completed work product created by the purchaser through the permitted use of the Digital Materials remain the purchaser’s responsibility and property; however, such rights do not extend to the underlying Digital Materials themselves.
2. Grant of License
Upon valid purchase and subject to compliance with these Terms & Conditions, the Company grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable license to use, copy, modify, and adapt the Digital Materials solely for the purchaser’s internal business purposes. The license permits internal use by the purchaser’s employees and external consultants or contractors, provided that such persons are bound by confidentiality obligations at least as protective as those set out herein. This license does not permit any form of public use, external distribution, commercial exploitation of the Digital Materials themselves, or disclosure to third parties beyond what is expressly allowed under these Terms & Conditions. The license may be revoked by the Company only in the event of a material breach of these Terms & Conditions by the purchaser.
3. Restrictions on Use
Except as expressly permitted under Section 2, the purchaser shall not, directly or indirectly:

Sell, resell, distribute, publish, transmit, sublicense, lease, lend, share, or otherwise make the Digital Materials, in whole or in part, available to any third party;

Upload, post, or otherwise place the Digital Materials on any website, marketplace, repository, shared drive, or platform accessible by persons outside the purchaser’s internal organization;

Use the Digital Materials to create derivative works for external distribution, commercial exploitation, or for the development of competing or substantially similar products, services, or methodologies;

Modify, adapt, translate, or reverse engineer the Digital Materials for purposes of resale, redistribution, sublicensing, or competitive use;

Reverse engineer, decompile, or disassemble the Digital Materials, except to the extent expressly permitted by mandatory applicable law;

Circumvent, disable, or interfere with any access controls, security measures, or usage limitations associated with the Digital Materials.
Internal copying, modification, and adaptation strictly necessary for the purchaser’s internal business use are expressly permitted.
4. Confidentiality & Non-Disclosure
The purchaser acknowledges that the Digital Materials constitute proprietary and confidential information of the Company. The purchaser agrees to maintain the confidentiality of the Digital Materials and shall not disclose, provide, or make available the Digital Materials, in whole or in part, to any third party except as expressly permitted under these Terms & Conditions. Disclosure of the Digital Materials to the purchaser’s employees, consultants, or contractors is permitted solely for internal business purposes, provided that such persons are subject to appropriate confidentiality obligations.
5. Enforcement; Remedies
Any unauthorized use, reproduction, modification beyond the permitted scope, distribution, or disclosure of the Digital Materials shall constitute a material breach of these Terms & Conditions and an infringement of the Company’s intellectual property rights. In the event of such breach, the Company may, to the maximum extent permitted by applicable law, pursue all available remedies, including but not limited to:

Immediate termination of the purchaser’s license and access to the Digital Materials;

Injunctive or equitable relief to prevent or restrict further unauthorized use;

Monetary damages, including compensatory damages and statutory damages where applicable;

Recovery of reasonable legal costs and attorneys’ fees as permitted under applicable law.
The purchaser acknowledges that unauthorized use of the Digital Materials may cause irreparable harm to the Company for which monetary damages alone may be an insufficient remedy.
6. No Refunds
All sales of Digital Materials are final. Due to the nature of digital content and immediate access upon delivery, the purchaser acknowledges and agrees that no refunds, returns, or exchanges will be granted once the Digital Materials have been delivered or made accessible, except as required by mandatory applicable law.
7. Disclaimer of Warranties
The Digital Materials are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, the Company makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or completeness. The purchaser assumes full responsibility for the use of the Digital Materials and any results obtained therefrom.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to the use or inability to use the Digital Materials. The Company’s total aggregate liability under these Terms & Conditions shall in no event exceed the amount paid by the purchaser for the Digital Materials.
9. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the Swedish courts.
10. Acceptance of Terms
By purchasing, downloading, accessing, or using the Digital Materials, the purchaser confirms that it is acting in a business capacity and acknowledges that it has read, understood, and agrees to be legally bound by these Terms & Conditions, which constitute a binding agreement between the purchaser and the Company.
